These Terms of Service ("Terms") govern your access to and use of the Neotask application, platform, and related services (the "Service") operated by Rockford AI Solutions ("Rockford AI," "we," "us," or "our"). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Neotask is a unified AI agent platform that enables users to deploy, manage, and orchestrate AI-powered agents across messaging channels, voice interfaces, automation workflows, and integrations. The Service includes the Neotask desktop application (macOS, Windows, Linux), web dashboard, iOS application, local gateway runtime, and all associated tools, skills, and orchestration features. Neotask is a platform - your subscription grants access to the software and infrastructure, while AI token consumption is metered and billed as usage.
You must be at least 13 years of age (or the applicable age of consent in your jurisdiction) to use the Service. By creating an account, you represent that you meet this requirement and that all information you provide is accurate and complete.
You may create an account using Apple Sign-In or Google Sign-In. Desktop access requires activation with a valid license key. You are responsible for maintaining the security of your account, license key, and all credentials associated with your agents. You agree to notify us immediately of any unauthorized access. One natural person may maintain one account.

When you connect agents to third-party platforms (Telegram, Discord, Slack, WhatsApp, and others), you provide credentials such as bot tokens, OAuth grants, or session links. You are solely responsible for:
Neotask name, logo, branding, and all associated intellectual property are owned by Rockford AI Solutions. You may not use our trademarks without prior written consent.
The Service is provided on an "as available" basis. We strive for high availability but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.
Your subscription to Neotask provides access to the software platform, including all features, integrations, tools, and infrastructure within your selected plan tier. The subscription fee covers access to the software suite only.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROCKFORD AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE FREE OF ERRORS OR HARMFUL COMPONENTS.
You agree to indemnify, defend, and hold harmless Rockford AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your agents' interactions on connected platforms, your violation of these Terms, or your violation of any third-party rights.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately, and your license key will be deactivated. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which Rockford AI Solutions is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in that State.
We may revise these Terms from time to time. Material changes will be communicated by posting the updated Terms within the app and on the website, and by updating the "Effective Date" above. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
